	Level 14 Ventures Ltd. ("the Issuer") has announced a plan of arrangement (the “Transaction”) to spin-out its wholly-owned subsidiaries, Green Mountain Resources Ltd. (“GMR”) and Kobe Resources Ltd. (“Kobe”). Pursuant to the Transaction, the owners of common shares of the Issuer at the effective time of the Transaction will receive: (i) one new common share of the Issuer (“New Share”) for each common share of the Issuer (“Old Share”) held at such time; (ii) one common share of GMR for every ten common shares of the Issuer held at such time; and (iii) one common share of Kobe for every ten common shares of the Issuer held at such time.

	The New Shares (CUSIP 52730L200) will replace the Old Shares. Following the completion of the Transaction, the New Shares will be identical in every relevant respect to the Old Shares.

	Level 14 Ventures Ltd. New Shares will commence trading at market open on July 5, 2023.

Conformément à l'Opération, les propriétaires d'actions ordinaires de l'Émetteur au moment de la prise d'effet de l'Opération recevront&nbsp;: (i) une nouvelle action ordinaire de l'Émetteur ("Nouvelle Action") pour chaque action ordinaire de l'Émetteur ("Ancienne Action ”) tenue à ce moment-là&nbsp;; (ii) une action ordinaire de GMR pour dix actions ordinaires de l'Émetteur détenues à ce moment; et (iii) une action ordinaire de Kobe pour dix actions ordinaires de l'Émetteur détenues à ce moment-là.

	Les Nouvelles Actions (CUSIP 52730L200) remplaceront les Anciennes Actions. Suite à la réalisation de l'Opération, les Actions Nouvelles seront identiques à tous égards pertinents aux Actions Anciennes.

	Les nouvelles actions de Level 14 Ventures Ltd. commenceront à être négociées à l'ouverture du marché le 5 juillet 2023.
