Pursuant to a Plan of Arrangement previously announced, each shareholder of Wildcat Silver will receive one common share of Ventana Gold Corp. ("Ventana") for each common share of the Company owned by such shareholder on the Effective Date, Thursday, December 14, 2006. Please see the Company's press release dated December 8, 2006 for further details of the plan.

WILD will begin trading ex-distribution Tuesday, December 12, 2006.
